These Terms and Conditions ("Terms") govern your access to and use of the Stem Sales Arena platform at arena.stemsalessolutions.com and the Stem Sales Solutions website at stemsalessolutions.com (collectively, the "Service"), operated by Stem Sales Solutions ("we," "us," or "our").
By creating an account, accessing, or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, do not use the Service.
1. Eligibility
You must be at least 18 years of age to create an account or use the Arena. By using the Service, you represent and warrant that you meet this age requirement and have the legal capacity to enter into these Terms.
2. Account Registration
To access the Arena, you must create an account by providing accurate and complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify us immediately at support@stemsalessolutions.com if you become aware of any unauthorized use of your account.
We reserve the right to suspend or terminate your account if any information provided is found to be inaccurate, incomplete, or in violation of these Terms.
By opting in to promotional communications during registration or through your account settings, you consent to receive emails about updates, new features, and offerings related to the Service. You may unsubscribe at any time using the unsubscribe link included in each email. Opting out of promotional communications does not affect transactional emails related to your account or subscription.
3. Description of Service
The Stem Sales Arena is an AI-powered sales training platform that simulates realistic buyer conversations. Users engage in interactive sales scenarios, receive performance evaluations, and progress through skill development paths. The Service includes both free and paid subscription tiers with varying levels of access and features.
We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time, with or without notice. We will make reasonable efforts to notify users of material changes.
4. Subscription Plans and Payment
The Arena offers multiple subscription tiers. Details of each plan, including pricing and features, are available on the plans page within the Arena. By subscribing to a paid plan, you agree to the following:
Billing: Subscription fees are billed on a recurring basis according to the billing cycle of your selected plan. You authorize us to charge your payment method on file for all applicable fees.
Cancellation: You may cancel your subscription at any time. Cancellation takes effect at the end of your current billing period. No refunds are issued for partial billing periods.
Price Changes: We reserve the right to change subscription pricing with at least 30 days’ notice. Continued use of the Service after a price change constitutes acceptance of the new pricing.
Token Usage: Access to certain features, including training sessions, may be subject to token-based usage limits that reset on a periodic basis as defined by your plan.
Token Forfeiture: Any unused tokens remaining in your account at the time of cancellation, termination, or account deletion are forfeited and are not eligible for refund, credit, or transfer.
5. Acceptable Use
You agree to use the Service only for its intended purpose of sales training and skill development. You agree not to:
Use the Service for any unlawful, fraudulent, or harmful purpose.
Attempt to reverse engineer, decompile, or extract the underlying AI models, algorithms, prompts, or system instructions used by the Arena.
Input content that is abusive, threatening, harassing, obscene, or otherwise objectionable.
Attempt to manipulate, exploit, or circumvent the evaluation, scoring, or progression systems.
Share, resell, or redistribute your account access or any content generated by the Service without our prior written consent.
Use automated tools, bots, or scripts to interact with the Service.
Interfere with or disrupt the integrity or performance of the Service.
Attempt to gain unauthorized access to any part of the Service, other accounts, or related systems.
6. Intellectual Property
Our Property: All content, features, and functionality of the Service — including but not limited to scenarios, buyer personas, skill trees, evaluation logic, AI-generated responses, user interface design, branding, and documentation — are owned by Stem Sales Solutions and are protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works based on any part of the Service without our prior written consent.
Your Content: You retain ownership of the text and voice inputs you provide during training sessions. By using the Service, you grant us a limited, non-exclusive license to process, store, and analyze your inputs for the purpose of providing the Service, generating evaluations, and improving the platform. This license does not grant us the right to publicly display or distribute your inputs.
7. For Teams Accounts
If you access the Arena through a For Teams account provided by your employer or organization (the "Organization"), the following additional terms apply:
Administrator Access: The Organization’s designated administrators will have access to your session data, including transcripts, grades, evaluation summaries, skill tree progression, and performance metrics.
Organizational Agreement: Your Organization may have a separate agreement with Stem Sales Solutions governing their use of the Service. In the event of a conflict between these Terms and that agreement, the organizational agreement governs for matters related to the Organization’s use.
Custom Content: Custom scenarios, personas, skill trees, and other content created for an Organization remain the intellectual property of Stem Sales Solutions unless otherwise specified in the organizational agreement. The Organization receives a license to use this content within the Arena for the duration of their subscription.
8. AI-Generated Content
The Arena uses artificial intelligence to simulate buyer conversations and generate performance evaluations. You acknowledge and agree that:
AI-generated responses are simulations for training purposes only and do not constitute real business advice, commitments, or representations by any actual person or company.
Performance evaluations, grades, and coaching feedback are generated by AI systems and are intended as training tools. They should not be relied upon as definitive assessments of your sales abilities.
AI outputs may occasionally contain inaccuracies, inconsistencies, or unexpected responses. We continuously work to improve the quality and accuracy of our AI systems but do not guarantee error-free performance.
9. Privacy
Your use of the Service is also governed by our Privacy Policy, available at www.stemsalessolutions.com/privacy-policy. By agreeing to these Terms, you acknowledge that you have read and agree to the Privacy Policy, which is incorporated into these Terms by reference.
10. Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY DEFECTS WILL BE CORRECTED.
WE MAKE NO REPRESENTATIONS OR WARRANTIES REGARDING THE ACCURACY, RELIABILITY, OR COMPLETENESS OF ANY AI-GENERATED CONTENT, EVALUATIONS, OR FEEDBACK PROVIDED THROUGH THE SERVICE.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, STEM SALES SOLUTIONS AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, WHETHER BASED ON WARRANTY, CONTRACT, TORT, OR ANY OTHER LEGAL THEORY, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
12. Indemnification
You agree to indemnify, defend, and hold harmless Stem Sales Solutions and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to your use of the Service, your violation of these Terms, or your violation of any rights of a third party.
13. Termination
We may suspend or terminate your access to the Service at any time, with or without cause, and with or without notice. Upon account deletion, your personal information and session data will be handled in accordance with our Privacy Policy. Any unused tokens, progress, statistics, and account history will be permanently lost and considered forfeited. This action cannot be undone. Upon termination, your right to use the Service ceases immediately. Sections of these Terms that by their nature should survive termination (including but not limited to intellectual property, limitation of liability, indemnification, and dispute resolution) shall survive.
You may terminate your account at any time by contacting us at support@stemsalessolutions.com or through the account settings within the Arena.
14. Dispute Resolution
These Terms are governed by and construed in accordance with the laws of the State of Illinois, without regard to its conflict of law provisions. Any disputes arising out of or related to these Terms or the Service shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, conducted in Chicago, Illinois. You agree to waive any right to a jury trial or to participate in a class action.
15. Modifications to These Terms
We reserve the right to modify these Terms at any time. If we make material changes, we will notify you by email or by posting a notice on the Service at least 30 days before the changes take effect. Your continued use of the Service after the effective date of the updated Terms constitutes your acceptance of the changes. If you do not agree to the updated Terms, you must stop using the Service.
16. Miscellaneous
Severability: If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
Waiver: Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.
Entire Agreement: These Terms, together with the Privacy Policy, constitute the entire agreement between you and Stem Sales Solutions regarding the Service and supersede any prior agreements or understandings.
Assignment: You may not assign or transfer these Terms or your rights under them without our prior written consent. We may assign these Terms without restriction.
